佣金协议

甲乙双方根据相关法律法规的规定，经双方协商一致，达成以下协议：

协议事项
乙方为甲方介绍太阳能组件的购买客户，并协助签订合同；甲方按照事先约定的比例向乙方支付佣金报酬。PartyBintroducessolarmodulespurchaserstopartyAandassistsPartyAtosignthethecontract.PartyApaycommissiontopartyBaccordingtostipulatedcommissionrate.
协议的内容
甲方支付乙方佣金，佣金总额或计算方式为：每瓦的佣金价格乘以总瓦数。
PartyB’scommissioniscalculatedasfollows(commissionperwattplustotalwatt)每瓦佣金的价格为：EUR0基 目前/W的销售价格上CommissionperwattisEURBaseonthesolarmodulepriceasperwatt总瓦数为乙方介绍的客户购买的总瓦数，本次合同号为，总瓦数为W
TotalwattreferstotalpurchasedwattofeachbusinessdealbycustomerintroducedbypartyB.Forcontractthetotaloutpoweris.
乙方指定收取佣金的账户资料为：

2,佣金支付时间：全部货款到帐后
Commissionshouldbepaidafterfullpaymentreachesouraccount.
3、乙方应自行承担有关商务活动中可能产生的风险与责任；任何情况下，除本协议约定的佣金外，乙方的有关商务活动中支出的费用全部自行承担，不得要求甲方支付。
PartyBshalltakepossibleriskandresponsibilityincurredbyrelatedbusinessactivity;ineverycase,PartyBshallpayforallenpense(e_cludingcommissionmentionedinthisagreement)incurredbyrelatedbusinessactivity,andshallnotaskPartyAtopayforit.
4、双方签订本协议，不表明甲方给与乙方任何授权，甲乙双方不存在授权委托关系。乙方不得以甲方授权代理人的名义与客户签订合约。乙方若以自己的名义与客户签订合约。则该合约仅对乙方和客户有约束力，对甲方没有约束力。
ThesignedagreementdidnotauthorizePartyBanyrightbyPartyA,therreisnoauthorization
orentrustrelationshipbetweenthetwoparties.PartyBshallnotsignagreementwithcustomerinthenameofauthorizedagencybyPartyA.IfPartyBsignsagreementwithcustomerinthenameofPartyB,thenthecontractisonlybindingonPartyBandthecustomer,andhasnobindingpoweronPartyA.
5、因乙方的过错给甲方造成损失的，乙方应承担损失。同时，甲方有权解除本协议，解除合同的通知到达乙方时，本协议对甲方不再具有约束力。
PartyBshallcompensatePartyA,iflossisincurredbyPartyB’sfault.Meanwhile,PartyAhastherighttocanceltheagreement,andtheagreementhasnobindingpoweronPartyAwhenthenoticeofagreementcancellationreachesPartyB.
三保密责任
双方应对对方提供的相关信息、资料等承担保密责任，未经许可，不得披露及作其他用途。如有违背，应向对方承担本合约佣金十倍的违约金，给对方造成损失的，应赔偿损失。
Theundersignedpartiesarebothresponsibleforkeepingtheinformation,documentofferedbyoppositePartyconfidential.Theinformationanddocumentcannotbeofferedtoothersorbeusedinotherusage.IfonepartywhichbreachesitshallpaypenaltytotheotherParty,theamountistentimesofthecommissionstipulatedintheagreement.Thepartyshallcompensatetheosscausedbypartyinbreach.
四、纠纷处理
凡有关本协议或执行本协议过程中而发生的一切争执，双方应首先通过友好协商解决。协商不能解决的，双方同意提交中国国际经济贸易仲裁委员会按该会的仲裁规则进行仲裁。仲裁地点为中国上海。仲裁裁决是终局的，对双方都有约束力。仲裁费用及合理的律师费=、差旅费由败诉一方负担，仲裁裁决另有规定者按照规定办理。
AlldisputesinconnectionwiththisAgreementorthee_ecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationwhichshallbeconductedbyitsShanghaiSubCommissioninshanghaiinaccordancewiththeCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.Thearbitrationfees,reasonableattorney’sfees,travele_penseshallbebornebythelosingpartyunlessotherwiseawardedbytheCommission.
五、其他事项
1、本协议受中华人民共和国法律管辖。
TheagreementshallbegovernedbyChanaLaw.
2、本协议自双方签章时生效，有效期1年。
Thisvalidityofthisagreementis1yearsbetweenParty“A”andParty“B”andisValiduponthesigningofagreement.
